A. BINDING CONTRACT; EMPHASIS OF IMPORTANT PROVISIONS CONTAINED WITHIN

BINDING CONTRACT. BY VISITING REGALIA-REALTY.COM AND USING OUR ONLINE SERVICES, YOU ARE ENTERING INTO A LEGALLY BINDING AGREEMENT WITH US. THIS AGREEMENT IS WHAT YOU ARE READING RIGHT NOW. YOU AGREE THAT YOU HAVE READ THIS AGREEMENT IN FULL AND AGREE TO BE BOUND BY ALL THE TERMS CONTAINED HEREIN. IF YOU DO NOT AGREE TO BE BOUND BY THIS AGREEMENT, DO NOT USE OUR SERVICES.

If you are entering into this Agreement on behalf of a company, association, or group, you must have actual authority to bind that entity to these Terms and Conditions (in which case “you” or “your” will refer to that entity); if you represent an organization but do not have the authority to bind that organization to this Agreement, or if you do not agree with these Terms and Conditions, you may not accept this Agreement and may not use the Services.

We reserve the right, in our sole discretion, to modify these Terms at any time or to change, suspend, limit, restrict, or discontinue any part of the Online Services (including the availability of any feature, property listing, or content) without liability. If we make changes, we will notify account holders via email and also post a notice on our website prior to the effective date of the changes. On the effective date of the modified Terms, your continued use of the Online Services shall constitute your acceptance of the revised Terms, which are hereby incorporated into this Agreement.

We also reserve the right, in our sole discretion, to refuse to offer the Online Services to any person or entity for any lawful reason, and to change user eligibility criteria in the future.

B. ABOUT US

Regalia Realty provides an online real estate search platform designed to help renters, buyers, and investors find residential and commercial properties in strategic locations. Through our website, https://regalia-realty.com/, users can browse curated listings and connect with real estate professionals for personalized assistance.

You may use our Online Services as a visitor, or you may register and open an account with Regalia to access additional features.

If you are a property owner, you may also use our Online Services. In such cases, a separate agreement between you and Regalia may apply, independent of these Terms. If you are a real estate broker or represent an agency, these Terms also apply to you unless otherwise stated in a specific agreement.

Our Online Services originate from our office in New York City and are supported by servers based in various locations within the United States. We make no representations that the Online Services are appropriate or available for use in other jurisdictions. Those who access our services from outside the United States do so on their own initiative and are responsible for compliance with local laws.

C. ELIGIBILITY

You must be at least eighteen (18) years of age to use our Services. By accessing or using our site, you represent and warrant that you are at least 18 years old and have the legal right and capacity to enter into and abide by these Terms of Use.

Only human individuals may use our Services. The use or facilitation of software, bots, mechanical devices, or other automated tools to engage with or manipulate our website or users in unintended ways is strictly prohibited.

Regalia Realty does not verify the accuracy, legality, or completeness of information submitted by third parties, and makes no guarantees about the condition, pricing, availability, or suitability of any listed property. You are strongly encouraged to consult legal or tax professionals before entering into any real estate transaction.

We do not:

Guarantee the condition, pricing, or accuracy of any property or
Conduct physical inspections or verify permits, titles, square footage, or any representations made by property owners, brokers, or other users.
Provide legal, financial, or tax

You acknowledge and agree that Regalia Realty does not act as your agent, advisor, or fiduciary. We are a platform for discovery and connection, and do not take part in any negotiations, transactions, or decision-making processes.

We reserve the right, at our sole discretion, to evaluate and enforce compliance with these Terms of Use. We may suspend or terminate your access to the Online Services at any time and for any lawful reason.

Please note that maps and location-related data displayed on our website are provided by third-party services such as Google, Inc. F. YOUR RESTRICTIONS WHEN USING OUR ONLINE SERVICES

Regalia Realty provides its Online Services to support your ability to search for and rent real estate. By using our Services, you agree that you will not, under any circumstances:

Infringe upon any intellectual property rights, including but not limited to patents, trademarks, trade dress, copyrights, or trade secrets belonging to Regalia Realty or any third party.
Use our Services to defame, harm, or make false or misleading statements about any individual, real estate broker, or third party.
Publish any housing-related content that expresses a discriminatory preference or violates Fair Housing laws.
Violate any civil or criminal law, or breach any contractual
Make fraudulent or misleading representations, including soliciting money under false pretenses.
Post or share content that is unlawful, abusive, harassing, hateful, threatening, or that expresses racism, bigotry, or discrimination against any person or
Impersonate others or misrepresent your identity, or engage in stalking, bullying, harassment, or intimidation.
Share or publish private, confidential, or sensitive information of any third party without proper authorization (e.g., personal financial information or private photos).
Upload or display obscene, vulgar, pornographic, profane, or otherwise offensive content, including depictions of nudity, sexual activity, graphic violence, or criminal acts.
Send or distribute unsolicited messages, spam, advertisements, promotions, or chain letters through the Online Services.
Promote non-real estate products, services, or social causes, unless explicitly permitted by Regalia Realty.
Solicit other users to use or purchase services from Regalia Realty’s

Use our platform to find housing or clients and then deliberately bypass any applicable fees owed to Regalia Realty.

Attempt to bypass or interfere with any security measures protecting our Services, including scraping or harvesting data without permission.
Use bots, automated tools, spiders, or scripts to access or index our website, unless expressly authorized.
Attempt to reverse engineer, decompile, disassemble, or decipher any aspect of our Online Services, unless permitted by law.
Copy, modify, or translate our Online Services or any part
Attempt to transfer your rights or access to our Services to another party—such transfers are invalid and void.
Participate in any illegal activity or assist others in violating these

If you violate any of these rules, we reserve the right to suspend or terminate your account and take any other appropriate legal action. Access to our Online Services may be revoked at our sole discretion.

G. GRANT OF NON-EXCLUSIVE LICENSE TO USE USER CONTENT

However, by uploading User Content to our Online Services, you grant Regalia Group a free,

non-exclusive, worldwide, royalty-free license to use, copy, store, transmit, reformat, display, distribute, modify, truncate, aggregate, and create derivative works of your User Content in connection with the operation and promotion of the Online Services. This license is perpetual, sublicensable, and transferable.

You also grant all other users of the Online Services a non-exclusive, perpetual license to access and interact with your User Content through the Online Services, including editing, modifying, reproducing, distributing, and publicly displaying your User Content.

You represent and warrant that you have all necessary rights to upload, store, and share User Content via our Online Services, including any intellectual property, privacy, publicity, or contract rights.

Regalia Group is not responsible for reviewing or confirming intellectual property rights in User Content. We are not liable for any User Content uploaded by you or other users.

You acknowledge that sharing User Content via our Online Services may make it accessible to others who can copy, store, and redistribute it without our control. If you do not want this, do not upload it.

We reserve the right to remove User Content at any time at our discretion.

H. RESTRICTIONS FOR REAL ESTATE BROKERS AND AGENTS

Real estate brokers, agents, or individuals acting under similar authority must notify Regalia Group before using our Online Services. Commercial use (e.g., advertising listings or soliciting clients) is prohibited without express written consent. We may decline co-brokerage arrangements at our sole discretion.

By using our Online Services, you affirm that:

You are entering a lawful consumer-broker relationship with
You have a bona fide interest in the real estate
Your use of our Online Services is personal and non-
You will not copy, repurpose, or redistribute our content for any unauthorized

All content, including listing data and database arrangements, is protected by copyright and owned by Regalia Group.

I. VIOLATION OF THESE TERMS

We reserve the right to disclose your information if required by law or if we believe it is necessary to enforce these Terms or protect the rights of Regalia Group, our users, or the public. We may also preserve and share your communications if legally obligated or if doing so protects our legal interests.

J. TERMINATION

We may suspend or terminate your access to our Online Services at any time, with or without cause. If your access is terminated due to violation of these Terms, your User Content may be deleted without notice.

Certain clauses in these Terms, including licenses, disclaimers, indemnity, and limitations of liability, shall survive termination.

K. PAYMENT SERVICES

Unless otherwise stated, all fees (“Subscription Charges”) are billed in advance and non-refundable. Subscriptions automatically renew unless canceled. You authorize Regalia Group to charge your chosen payment method for applicable fees. Late payments may incur interest, service suspensions, or termination.

We do not store or manage payment information directly. All payments are handled by third-party processors, and you agree to their terms when submitting payment.

L. INDEMNIFICATION

You agree to defend and hold harmless Regalia Group, its affiliates, officers, employees, contractors, and partners from any claim arising from:

Your use or misuse of our Online Services;
Violation of these Terms;
Any breach of agreements with third parties;
Property-related claims;
Your interactions with other users;
Intellectual property infringements by you or someone using your

M. LIMITATION OF LIABILITY

Regalia Group shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits, property defects, user-submitted content, or third-party actions.

If dissatisfied with our Online Services, your sole remedy is to discontinue use. Our liability, in any event, is limited to the amount you paid us in the previous 12 months or $50, whichever is greater.

N. DISCLAIMERS

Our Online Services are provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee accuracy, security, or uninterrupted availability. Your use is at your own risk.

O. RELEASES

You release Regalia Group and all related parties from all claims arising from your use of our Online Services or interactions with other users. You waive any legal protections that might limit such a release.

P. ARBITRATION AGREEMENT

All disputes will be resolved via binding individual arbitration under AAA rules, not in court. No class actions or jury trials are permitted. You may file a small claims case in Kings County, New York, if eligible. Notices must be mailed to: Regalia Group Legal Department, 1157 Myrtle Ave, Brooklyn, NY 11206.

Q. WAIVER OF CLASS ACTIONS

You waive any right to participate in class actions, representative actions, or consolidated arbitrations. This clause survives even after termination of your relationship with Regalia Group.

R. MISCELLANEOUS

These Terms, along with our Privacy Policy and any signed agreements, constitute the entire agreement between you and Regalia Group. If any part is unenforceable, it does not affect the validity of the rest. Force Majeure applies where appropriate.

These Terms are governed by the laws of the State of New York. All notices should be sent to: info@regaliany.com.

No agency or partnership is created between you and Regalia Group by these Terms. Headings are for convenience only.

These Terms benefit Regalia Group and its affiliates, and no ambiguity shall be construed against Regalia Group as the drafter.
